Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Vatidator website, products and subscriptions provided by Vatidator OÜ ("Vatidator", "we", "us", "our"). By accessing our website or using our products, you agree to these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. The service

Vatidator provides ERP-native compliance software, including VAT validation, posting control, audit evidence and data-risk assessment, delivered as extensions to platforms such as Microsoft Dynamics 365 Business Central and (where available) Salesforce, together with supporting API infrastructure (the "Service"). We may improve, modify or discontinue features of the Service over time.

2. Accounts and subscriptions

Access to paid features requires an active subscription. You are responsible for maintaining the confidentiality of any credentials or license keys associated with your subscription and for all activity under your account. Subscription tiers, limits and entitlements are described at the point of purchase and on our pricing page.

3. Fees and billing

Subscription fees are billed in advance through our Merchant of Record payment provider, which acts as the seller of record and handles applicable taxes, including EU VAT. Unless stated otherwise, fees are non-refundable except as required by applicable law. Enterprise agreements may be invoiced directly under separate written terms.

4. Acceptable use

You agree not to misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, reselling or sublicensing it without authorisation, reverse-engineering it except to the extent permitted by law, or using it to violate any applicable law or third-party right.

5. Customer data and data protection

You retain ownership of the data you process through the Service. With respect to personal data processed within your ERP environment, you act as the data controller and we act as the data processor. Our processing is described in our Privacy Policy and governed by our Data Processing Agreement (DPA), which is incorporated into these Terms. A signed DPA is available on request at privacy@vatidator.com.

6. Intellectual property

The Service, including all software, documentation, and related materials, is and remains our property and that of our licensors. Subject to these Terms and your active subscription, we grant you a non-exclusive, non-transferable right to use the Service for your internal business purposes. No rights are granted other than as expressly set out here.

7. Third-party services

The Service relies on third parties (such as official VAT registries, hosting and payment providers) to function. We are not responsible for the availability, accuracy or policies of third-party services. Validation results reflect the responses returned by the relevant official sources at the time of the check.

8. Warranties and disclaimers

We provide the Service with reasonable skill and care. To the maximum extent permitted by law, the Service is otherwise provided "as is" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted or error-free, and the Service does not constitute legal, tax or accounting advice.

9. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or for loss of profits, revenue or data. Our total aggregate liability arising out of or relating to these Terms is limited to the fees you paid for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

10. Term and termination

These Terms apply for as long as you use the Service. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these Terms. Provisions that by their nature should survive termination will survive.

11. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify active customers. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing law

These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles. The courts of Estonia have jurisdiction over any dispute arising out of or relating to these Terms, subject to any mandatory consumer protections that may apply.
